The company “1M” (hereinafter referred to as the “Contractor”) hereby publishes this Service Offer Agreement (hereinafter referred to as the “Agreement”), which constitutes a public offer addressed to any legal entity or individual (hereinafter referred to as the “Customer”) to conclude a service agreement under the following terms and conditions.
1. General Provisions
1.1. This Agreement is a public offer in accordance with Article 437 of the Civil Code of the Russian Federation.
1.2. Acceptance of the offer (filling out a form on the Website, submitting an application, or providing oral or written consent to the provision of services) shall constitute full and unconditional acceptance of the terms of this Agreement by the Customer.
2. Subject of the Agreement
2.1. The Contractor provides the Customer with marketing services in the B2B sector, including but not limited to:
- conducting a free express audit of marketing activities;
- providing consultations and preparing recommendations;
- other services related to marketing communications and analytics.
- 2.2. The terms of service provision and their cost (excluding the free audit) are determined in separate agreements or contracts.
3. Rights and Obligations of the Parties
The Contractor undertakes to:
- provide services with due quality and within the timeframe agreed with the Customer;
- provide accurate information regarding the progress of services;
- maintain confidentiality of information received from the Customer.
The Customer undertakes to:
- provide accurate and up-to-date information necessary for service provision;
- cooperate with the Contractor during the provision of services;
- comply with the terms of this Agreement.
4. Procedure for Service Provision
4.1. The free audit is provided upon the Customer’s request via the Website or any other method agreed upon by the parties.
4.2. Additional (paid) services are provided on the basis of a separate written agreement.
5. Liability of the Parties
5.1. The parties are liable for non-performance or improper performance of obligations in accordance with the laws of the Russian Federation.
5.2. The Contractor shall not be liable for indirect damages or lost profits of the Customer.
6. Force Majeure
6.1. The parties are released from liability for partial or complete non-performance of obligations under this Agreement in the event of force majeure circumstances (extraordinary events beyond the control of the parties).
7. Dispute Resolution
7.1. Disputes and disagreements shall be resolved through negotiations.
7.2. If no agreement is reached, the dispute shall be submitted to the court at the place of registration of the Contractor.
8. Term of the Offer
8.1. This Agreement enters into force upon acceptance and remains valid until revoked by the Contractor.
8.2. The Contractor has the right to amend the terms of the Agreement by publishing a new version on the Website.
